Terms of Service

1. Who we are and key terms

Leasifys (the "Platform") is provided by AY&R Management Consultants LLC OPC, licence CN-2697191 issued by the Abu Dhabi Department of Economic Development, Abu Dhabi, United Arab Emirates. Contact: [email protected] (legal and privacy), [email protected] (support).

"User" or "you" means anyone with a Leasifys account. A "Unit" is a property recorded on the Platform. A "Role" is how you relate to a Unit: landlord, co-owner (investor), property manager, tenant or service provider. "Policies" are the Privacy Notice and other documents these Terms refer to.

2. Accepting these Terms

You accept these Terms by ticking the box when you set up your account. You agree that this electronic acceptance is binding under Federal Decree-Law No. 46 of 2021 on Electronic Transactions and Trust Services. We keep a record of the version you accepted, the language shown and the time.

3. Who can use Leasifys

You must be at least 18 years old and have full legal capacity to enter into binding contracts. Records relating to persons under 18 (for example, household occupants named in a tenancy) may be entered only by an adult account holder; persons under 18 may not hold accounts.

4. Accounts, roles and invitations

There is one account for everyone. Your role in respect of a Unit is derived solely from your own declarations, from documents you upload and from invitations sent by other Users. One person may hold different roles on different Units.

Keep your sign-in details secure and tell us at once if you suspect misuse. An invitation sent through the Platform does not make AY&R the agent or representative of the sender or the recipient.

5. What Leasifys is — and is not

Leasifys is a technology service provider supplying software tools. AY&R is not a landlord, tenant, real-estate broker, property manager, owners'-association management body, real-estate services trustee, escrow agent, bank, payment service provider or party to any tenancy, management, co-ownership or service contract concluded between Users.

AY&R is not licensed by the Dubai Land Department, RERA, ADREC, Sharjah Municipality, the Central Bank of the UAE, VARA, the SCA, the DFSA or the FSRA, and does not perform any activity that requires such a licence. We do not advertise properties, find tenants, collect or hold rent, or register contracts.

We do not verify ownership, authority, licence status or the authenticity of uploaded documents except as described on the screen where you upload them (for example, a manual check of a title deed with the issuing land department before ownership is marked as reviewed).

6. What you confirm to us

When you act in a Role you confirm that you are entitled to: an owner or co-owner is named on the title deed or holds a written mandate; a property manager holds the licence required in the relevant Emirate and a written management agreement for each Unit; a tenant is a party to a valid registered tenancy (Ejari, Tawtheeq or the Sharjah equivalent).

If information you give is false and that causes loss to AY&R or another User, you are responsible for that loss to the extent the law allows.

7. Acceptable use

Do not use Leasifys to: advertise Units to the public; solicit investors or offer shares in property; send debt-collection or threatening messages; upload data you have no right to share or data that must by law stay in a specific system or country; interfere with the Platform's security; or break any law. We may remove content or suspend access that breaks this clause (see clause 20).

8. Rules engine and calculators

Indicative only. Any rent-cap, notice-period or similar result is computed from data you entered and from publicly available rules as understood by Leasifys on the date shown with the result. It is not the official DLD/RERA Rental Index result, not an ADREC or Sharjah Municipality determination, not legal advice and not a notice to any party. Official index values, building classifications, registered contract values and regulatory circulars (including temporary rent freezes) override it. Serving a valid notice requires the statutory form and channel; in-app messages and reminders are not statutory notices. Verify with the official calculator or authority and a licensed adviser before serving notice or changing rent.

9. Lease drafts, registration and e-signature

Documents generated by the Platform are drafts. They are not registered with Ejari, Tawtheeq, Sharjah Municipality or any other authority. Registering or certifying a tenancy is the legal responsibility of its parties through the official channel within the statutory period; AY&R does not file, attest, register or certify contracts and is not a Real Estate Services Trustee. Where you sign in the Platform, the in-app signature is your electronic signature under Federal Decree-Law No. 46 of 2021; AY&R is not a licensed trust service provider and an in-app signature does not replace any mandatory registration.

10. Co-ownership shares

An "ownership share" recorded in the Platform is an allocation percentage used solely to apportion income, expenses and notifications among persons who already hold a registered legal or beneficial interest in a Unit. It is not a security, token, unit, investment contract or evidence of title. AY&R does not issue, offer, sell, market, value, transfer, hold in custody or facilitate trading of any interest in real property. You confirm that declared shares reflect the title deed or a written co-ownership agreement and that no share is offered to any person through the Platform. Changes to shares are recorded only from a new title deed reviewed as described on the Change owners screen.

11. Identity documents, KYC and AML

Identity documents are read on your device and stored encrypted; raw images are deleted 30 days after you confirm the details. Separate consents apply on the identity screen.

AY&R is not a designated non-financial business or profession, financial institution or virtual-asset service provider and does not perform customer due diligence, sanctions screening, suspicious-transaction monitoring or goAML reporting on your behalf. If you are subject to anti-money-laundering obligations, you remain solely responsible for them. AY&R may suspend accounts and disclose information to comply with court, prosecution or Financial Intelligence Unit orders and may refuse service where it has objective grounds to suspect unlawful activity, without assuming any duty to monitor.

12. Automated features and AI

Leasifys uses automated tools to read documents you upload and fill in forms. These tools may run on your device, on servers we control, or at service providers we engage — including providers of AI-based document reading — who process documents on our behalf under contract. The providers we use may change; the current list is on the Sub-processors page. AI reading is on by default and you can turn it off at any time in Settings.

Automated outputs are informational, may be inaccurate and are not legal, financial, tax or valuation advice; you review what was read before it is saved. No decision with legal or similarly significant effect on a person (such as approving or declining a tenancy, ending a tenancy or deducting a deposit) is made solely by automated means. You may object to automated processing and ask for human review at [email protected].

13. Messages from Leasifys

We send service messages (sign-in codes, invitations, deadlines, review decisions) by email, and on WhatsApp only if you opt in. Marketing messages are sent only with your separate consent and you can stop them at any time. In-app messages, emails and reminders are not statutory notices between landlords and tenants.

14. Fees

Leasifys is free during the pilot. Before any fee applies to you, we will give you at least 30 days' notice with the price (showing 5% VAT separately) and you can choose not to continue. Paid plans will come with separate billing and refund terms and Arabic e-invoices; there is no surcharge for paying digitally.

15. Payments (not offered yet)

Leasifys does not process payments today. If a payment feature is added, AY&R will never receive, hold, control, aggregate, net or settle your funds: payments will be processed by a payment service provider licensed by the Central Bank of the UAE, directly between payer and payee, under terms shown to you before you use it.

16. Service providers (not offered yet)

Leasifys does not list service providers today. If it does, the contract for any service will be between you and the provider, and providers will have to hold the licences, approvals and insurance their work requires, under separate terms shown before use.

17. Your content

You own what you upload. You give AY&R a limited licence to host, process and display it to the people you share it with through your Roles, and to produce anonymised statistics that do not identify you. We do not claim ownership of your content.

17A. Ratings

After a completed job, tenancy or management mandate, Users may rate each other, a unit or a community using a star score and fixed, pre-written descriptors. Ratings are the opinions of the Users who give them, not statements by AY&R. Leasifys also shows facts computed from records held on the platform (for example whether rent was recorded as paid on time); these are presented as records, not as verification. Ratings between a landlord, tenant and manager are shown to the other party only once both sides have rated or after 14 days. A rated User may reply with a fixed response or ask AY&R to review a rating; AY&R may remove a rating that is abusive, unrelated to the transaction or in breach of these Terms. Ratings do not create, change or evidence any legal right or obligation between Users, and are not a reference, credit assessment or licensing opinion.

18. Privacy

The Privacy Notice explains what personal data we process, why, where and for how long, and your rights. AY&R is the controller of account, security and platform data. Where a landlord or property manager uploads data about other people, they decide why it is processed and must have a lawful basis to share it.

19. Liability

Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under UAE law, including liability for fraud or gross fault, death or personal injury, breach of the pre-contractual disclosure duty under the Civil Transactions Law, or any right you have under the Consumer Protection Law or the Personal Data Protection Law.

AY&R is not liable for: (a) the acts, omissions, content or dealings of other Users; (b) decisions you take in reliance on indicative outputs whose limitations are disclosed in clauses 8 and 12; (c) failure of third-party services (messaging networks, registration portals) outside AY&R's control; or (d) loss of profit, loss of business or indirect loss. For Users who are not consumers, and subject to the first paragraph, AY&R's total liability in any twelve-month period shall not exceed the greater of the fees you paid in the preceding twelve months and AED 1,000.

20. Suspension and ending your account

You can stop using Leasifys at any time. We may end the service for you on 30 days' notice, or immediately if you seriously break clause 7, if the law or a competent authority requires it, or to protect other Users. Before your account closes we give you a window to export your data, except where the law prevents it. Records we must keep by law are kept for the period stated in the Privacy Notice.

21. Changes to these Terms

We may change these Terms, the Privacy Notice and the Policies only by giving you at least 30 days' notice in the app and by email, in Arabic and English, with a summary of the changes. If a change is materially adverse to you, you may end your account before it takes effect and we will refund any prepaid fees for the unused period. Changes do not apply retroactively. Changes required by law or that only add features or reduce prices may take effect on shorter notice. For consumer accounts we will ask you to accept the new version when you next sign in.

22. Events outside our control

Neither party is responsible for failing to perform while performance is prevented or made impossible by events outside its reasonable control. Obligations are suspended for that time; if the event lasts more than 60 days either party may end the affected service. This clause does not limit any relief the Civil Transactions Law gives for exceptional circumstances.

23. Governing law and disputes

These Terms are governed by the federal laws of the United Arab Emirates as applied in the Emirate of Abu Dhabi. Before starting proceedings, please raise the matter through our complaints procedure; you may also complain to the competent consumer-protection authority. Disputes between you and AY&R are subject to the exclusive jurisdiction of the competent onshore courts of the UAE. Nothing in these Terms affects the exclusive jurisdiction of the Dubai Rental Disputes Centre, or the competent rental dispute committee or court in any other Emirate, over disputes between a landlord and a tenant; AY&R is not a party to such disputes. Nothing in these Terms requires you to arbitrate.

24. Language

These Terms are issued in Arabic and English. Both texts are equally authentic. In the event of inconsistency before the courts of the UAE, the Arabic text prevails.

25. Notices, transfer and other terms

We send notices in the app and by email to the address on your account; you send notices to [email protected]. AY&R may transfer these Terms to a company that takes over Leasifys (for example, a dedicated Leasifys company), with notice to you and your right under clause 21 to leave. You may not transfer your account, except that a property-management firm may pass its role to a successor with the owner's consent.

If a court finds part of these Terms invalid, the rest continues. Clauses that by their nature should survive the end of your account (such as 10, 17, 19 and 23) do so.

26. Entire agreement

These Terms, the Privacy Notice and the consents you give on specific screens are the whole agreement between you and AY&R about Leasifys. Nothing in them excludes liability for fraud or for breach of the pre-contractual disclosure duty. If you sign a separate business addendum with AY&R, it prevails over these Terms for the matters it covers.
